The agreement

These Terms & Conditions (“Terms”) govern your use of the LocalType mobile application (“LocalType”, the “App”) and the LocalType website (the “Website”).

LocalType is operated by LocalType, Keizersgracht 520H, 1017 EK Amsterdam, The Netherlands, registered with the Netherlands Chamber of Commerce (KvK) under number 56759398, referred to in these Terms as “LocalType”, “we”, “us”, or “our”.

By downloading, installing, accessing, purchasing a subscription to, or using LocalType, you agree to these Terms. Please read these Terms carefully before using LocalType.

1. About LocalType

LocalType is an Android keyboard with integrated voice typing functionality.

The App allows users to type using an on-screen keyboard and to convert spoken audio into text using speech recognition technology running locally on the user’s device.

LocalType is designed so that speech recognition can be performed on-device without sending the user’s voice to a remote speech-to-text service.

Certain functionality, including downloading speech recognition models, may require an internet connection.

The availability and performance of LocalType may depend on the user’s device, Android version, hardware, available memory, storage capacity, selected speech model, language, and other technical factors.

2. Eligibility and acceptance

By using LocalType, you confirm that you are legally permitted to enter into an agreement with us under the laws applicable to you.

If you use LocalType on behalf of a business or other organisation, you confirm that you have authority to accept these Terms on behalf of that organisation.

If you do not agree to these Terms, you should not use LocalType.

3. No LocalType account required

LocalType does not require users to create a LocalType account in order to use the App.

Purchases and subscriptions made through Google Play are associated with the relevant Google Play account and are processed and managed through Google Play.

Google’s own terms and policies may therefore also apply to purchases, payments, subscriptions, cancellations, and refunds made through Google Play.

4. Licence to use LocalType

Subject to these Terms and any applicable subscription requirements, LocalType grants you a limited, non-exclusive, non-transferable and revocable right to install and use the App for lawful personal or business use.

You may not use LocalType in violation of applicable law or in a way that intentionally interferes with, damages, abuses or compromises the App, its distribution, or related services.

Nothing in these Terms transfers ownership of LocalType, its branding, design, proprietary software, or other intellectual property to you.

Certain components used by LocalType may be provided under separate open-source or third-party licences. Those components remain subject to their applicable licence terms.

5. Voice typing and speech recognition

LocalType uses automated speech recognition technology.

Speech recognition is inherently imperfect. LocalType may incorrectly recognise, omit, add, punctuate or otherwise transcribe spoken words.

You are responsible for reviewing text produced by voice typing before relying on, sending, publishing, storing or otherwise using that text.

LocalType should not be relied upon as a guaranteed or error-free transcription system.

You remain responsible for the content you dictate and for how resulting text is used.

6. On-device processing and internet access

LocalType is designed to perform speech recognition locally on the user’s device.

An internet connection may be required to download speech recognition models and for other functionality that is clearly identified as requiring internet access.

After an appropriate speech model has been downloaded, supported voice typing functionality is designed to operate locally without requiring audio to be sent to a remote speech-to-text service.

7. Speech models

LocalType may allow users to download and select different speech recognition models.

Models may differ in download size, storage requirements, memory usage, processing speed, accuracy and hardware requirements.

LocalType may recommend a model based on characteristics of the user’s device. Such recommendations are estimates and do not guarantee performance.

Choosing a model that requires more resources than a device can comfortably provide may result in slower performance, increased battery usage, instability or other limitations.

Available models and model specifications may change over time.

8. Device compatibility

Not every LocalType feature is guaranteed to operate on every Android device.

Compatibility may depend on factors including:

• Android version;
• processor architecture;
• available memory;
• available storage;
• device manufacturer;
• hardware capabilities;
• operating system restrictions; and
• changes introduced by Android or device manufacturers.

The Google Play listing and LocalType documentation may specify minimum or recommended system requirements.

Where a device does not support local speech recognition, some keyboard functionality may still remain available where technically possible.

9. Subscription

LocalType may require an active subscription to access some or all functionality after any applicable free trial.

Subscriptions purchased through Google Play are processed by Google Play.

The price, currency, billing period and applicable taxes shown to you during the Google Play purchase process apply to your purchase.

Our intended standard subscription is an annual subscription. Actual pricing may vary by country, currency, tax treatment, promotional offer or changes to LocalType’s pricing.

Before purchasing a subscription, you will be shown the applicable price and subscription terms.

10. Free trial

Eligible users may be offered a 14-day free trial.

The exact trial offered to you will be displayed before you start the subscription.

Unless you cancel before the end of the free trial, the subscription will automatically convert into a paid subscription and Google Play will charge the payment method associated with your Google Play account at the price shown when you subscribed.

The subscription will subsequently renew automatically at the applicable billing interval unless cancelled.

You can cancel through Google Play before the end of the trial if you do not wish to become a paying subscriber.

Eligibility for a free trial may be subject to Google Play rules and may not be available to every user.

11. Automatic renewal

Subscriptions are recurring and automatically renew unless cancelled.

For an annual subscription, Google Play will charge the applicable annual subscription price at renewal unless the subscription has been cancelled or otherwise terminated before renewal.

You can manage or cancel your subscription through Google Play.

Cancelling automatic renewal does not normally remove access immediately. Unless otherwise required by applicable law or stated by Google Play, access continues until the end of the period for which you have already paid.

12. Cancellation

You may cancel your LocalType subscription at any time through Google Play.

Cancellation prevents future renewal charges but does not necessarily result in a refund for a period that has already been paid.

Where applicable, LocalType may provide a link inside the App or Website that takes you to the relevant Google Play subscription management functionality.

Your statutory cancellation or consumer rights, where applicable, are not affected by these Terms.

13. Refunds

Payments made through Google Play are subject to Google Play’s payment and refund procedures as well as any mandatory rights available under applicable law.

Where Google handles a refund request, Google’s applicable procedures and policies apply.

Nothing in these Terms limits any refund, withdrawal or other consumer right that cannot legally be excluded or restricted.

14. Updates and changes to the App

We may update LocalType from time to time.

Updates may include:

• bug fixes;
• security improvements;
• performance improvements;
• changes to speech recognition;
• changes to supported models;
• changes to supported languages;
• changes to keyboard functionality;
• new features;
• removal or replacement of features; and
• compatibility changes required by Android or other technologies.

We do not guarantee that every feature available at a particular point in time will remain available indefinitely.

Where changes materially affect a paid subscription, we will comply with applicable law and relevant Google Play requirements.

15. Availability

We aim to keep LocalType reliable and available, but we do not guarantee uninterrupted or error-free operation.

Functionality may temporarily or permanently be affected by software bugs, device limitations, operating system updates, third-party components, model availability, maintenance, technical changes or circumstances outside our reasonable control.

Because core speech recognition is performed locally, performance can vary significantly between devices.

16. User responsibilities

You are responsible for using LocalType lawfully and appropriately.

You must not use LocalType to:

• violate applicable law;
• infringe the rights of another person;
• intentionally distribute malicious content;
• interfere with or attempt to compromise the App or related infrastructure; or
• use the App in a manner for which you do not have the necessary legal rights or permissions.

If you dictate confidential, personal or otherwise sensitive information, you remain responsible for the context in which you use that information and for any text you subsequently send or share through third-party applications.

17. Third-party applications and services

LocalType is designed to function as an Android input method and may be used to enter text into third-party applications.

Those applications and services are not operated or controlled by LocalType.

LocalType is not responsible for how third-party applications process, store, transmit or otherwise handle text after you enter or submit it to those applications.

For example, LocalType processing speech locally does not mean that an application into which you subsequently send the resulting text will process that text locally.

Your use of third-party applications is subject to the terms and privacy practices of those third parties.

18. Privacy

Your privacy is an important part of LocalType.

Our Privacy Policy explains what information LocalType processes, why it is processed, where processing occurs, and what choices and rights may be available to you.

The Privacy Policy forms part of the legal information governing your use of LocalType and should be read together with these Terms.

19. Intellectual property

Except for third-party and open-source components provided under their respective licences, all rights in LocalType, including its name, branding, original software, website content, visual design and documentation, belong to LocalType or its licensors.

You may not copy, sell, redistribute or commercially exploit proprietary LocalType materials except where permitted by law, these Terms, or an applicable open-source licence.

Nothing in these Terms is intended to restrict rights granted to you directly under an applicable open-source licence.

20. Disclaimer

LocalType is provided on an “as available” basis.

To the extent permitted by applicable law, we do not guarantee that:

• speech recognition will always be accurate;
• LocalType will work on every device or Android version;
• every speech model will perform equally on every device;
• LocalType will always be available without interruption; or
• LocalType will meet every user’s individual requirements.

Nothing in this section affects warranties or rights that cannot be excluded under applicable consumer law.

21. Liability

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

To the extent permitted by law, LocalType will not be liable for indirect or consequential losses arising from the use of or inability to use the App.

In particular, users should review automatically generated text before relying on it for important communications, professional work, financial information, legal matters, medical information, safety-critical instructions or other circumstances where transcription errors could have significant consequences.

Where applicable law provides mandatory consumer protections or statutory remedies, those rights remain unaffected.

22. Termination

You may stop using LocalType at any time.

We may restrict or terminate access to LocalType where reasonably necessary, including in cases of unlawful use, serious abuse, security threats or material violation of these Terms.

Termination of access by LocalType does not remove any rights you have under applicable law.

Subscription cancellation and payment matters remain subject to the provisions above and the applicable Google Play procedures.

23. Changes to these terms

We may update these Terms when reasonably necessary, including because of changes to LocalType, applicable law, Google Play requirements or our business operations.

The latest version will be published on the LocalType Website with an updated revision date.

Where required by applicable law, we will provide appropriate notice of material changes.

Continued use of LocalType after changes become effective constitutes acceptance of the updated Terms to the extent permitted by law.

24. Governing law

These Terms are governed by the laws of the Netherlands.

If you are a consumer residing in another country, this choice of law does not deprive you of mandatory consumer protections that apply to you under the laws of your country of residence.

Any dispute will be handled by the competent court in accordance with applicable law.

25. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

26. Language

These Terms are provided in English. If we ever make a translation available, it is for convenience only and the English version prevails in the event of any difference.
